4. Intellectual Property

Unless otherwise agreed in writing, all intellectual property (IP) rights for deliverables created by Kurama Studios under a client engagement will, upon full payment, belong to the client. This includes but is not limited to: code, designs, documentation, AI agents, workflows, branding materials, and other project outputs specifically produced for the client.

Kurama Studios retains ownership of pre-existing IP, internal tools, frameworks, and methodologies used in the creation of the deliverables. These elements may be reused for future projects unless explicitly restricted by separate agreement.

5. Confidentiality

Both Kurama Studios and the client agree to maintain strict confidentiality regarding all non-public information shared during the project. This includes but is not limited to business strategies, internal documents, proprietary data, personal information, technical assets, and any materials designated as confidential.

Confidential information may not be disclosed to third parties without written consent, except where required by law.

6. Data Handling & Privacy

Kurama Studios will handle all client data responsibly, securely, and in accordance with applicable data protection laws. We commit to:

• Using client data solely for purposes necessary to deliver the contracted Services
• Implementing reasonable security measures to protect data from unauthorized access
• Not selling, transferring, or using client data for unrelated activities

Clients are responsible for ensuring that any data they provide complies with the laws of their jurisdiction, including proper rights, permissions, and user consent.

7. AI-Specific Liability

Kurama Studios develops AI agents, automations, and related digital systems. By engaging our Services, you agree and acknowledge that:

• AI systems may make probabilistic decisions and may not always produce perfect or intended outcomes
• Kurama Studios is not liable for losses arising from the misuse, misinterpretation, or unintended behavior of AI tools
• Clients are responsible for reviewing outputs before applying them in critical operations
• Any deployment of AI systems into live business environments must be monitored by the client unless otherwise agreed in writing

Kurama Studios will not be held liable for legal, financial, or compliance-related consequences resulting from client use of AI systems.

8. Project Acceptance Criteria

All deliverables will include a review and acceptance period, typically 7 days unless otherwise stated in the contract. During this period, clients may request reasonable revisions aligned with the agreed scope.

A deliverable is considered accepted when:

• The client provides written confirmation, or
• The review period expires without revision requests

Out-of-scope revisions or change requests may incur additional charges.

9. Compliance With Applicable Laws

Any project, agreement, or service engagement is subject to:

• Clarification of scope
• A signed contract (where applicable)
• Acceptance of our pricing and policies

We reserve the right to decline any project at our discretion.

Kurama Studios agrees to operate in compliance with the laws and regulations of the client's country when executing contracted work, provided that such laws do not conflict with the laws of our operating jurisdiction. Clients are responsible for informing us of any industry-specific or regional legal requirements relevant to the engagement.

10. Limitation of Liability

To the fullest extent permitted by law, Kurama Studios is not liable for any damages, losses, or liabilities arising from:

• Your use or inability to use our Services
• Third-party actions or content
• Unauthorized access to your data

11. Termination

We may suspend or terminate your access to our Services at any time, especially if you engage in prohibited activities or violate these Terms.

12. Changes to These Terms

We reserve the right to update these Terms at any time. Updated versions will be posted on this page with a revised "Last updated" date.
